Terms of Service

Agreement to these terms

These Terms of Service govern your access to and use of StartupCFO. By creating an account, joining an organization, using a shared Investor Portal, or otherwise using the service, you agree to these terms. If you use StartupCFO for a company or other entity, you represent that you have authority to accept these terms for that organization.

The service

StartupCFO provides software for importing and organizing financial activity, reviewing cash, burn, runway, revenue, products and expenses, preparing reports and projections, and sharing selected investor materials. Features may change as the service develops. We may add, modify, suspend, or discontinue features, provided that we will not intentionally remove access to paid functionality without appropriate notice or remedy where required.

Accounts and organizations

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for promptly reporting unauthorized access. Organization administrators control membership, roles, connected services, billing, and sharing settings. If you join an organization, its administrators may access and manage content associated with that organization.

Your data and content

You retain ownership of information and files you submit to StartupCFO. You grant us a limited right to host, process, copy, transmit, and display that content only as needed to provide, secure, support, and improve the service. You represent that you have the rights and authority needed to provide the content and connect any third-party account.

You are responsible for reviewing imported data, classifications, balances, reports, assumptions, projections, and shared materials. StartupCFO can help organize a financial record, but it does not replace source documents, bank records, or a qualified professional's review.

Connected services

You may authorize StartupCFO to connect to third-party services such as Plaid or Stripe. Your use of those services is also governed by their terms. We are not responsible for the availability, accuracy, or acts of a third-party service. You may disconnect an integration, but previously imported data may remain in your workspace until deleted under our normal processes.

AI-assisted features

AI-assisted features may suggest categories, explanations, scenarios, or other content. Output is generated from available context and may be inaccurate, incomplete, or unsuitable for your circumstances. You must review AI output before relying on it or sharing it. StartupCFO does not guarantee that AI output is correct, current, or free from error.

Investor Portal

Founders and organization administrators are responsible for deciding what to publish, who receives access, and when deeper diligence is approved. Share links can be forwarded unless access controls prevent it. Investors must use portal materials only for legitimate evaluation and may not attempt to access founder-only data, bypass controls, or redistribute confidential materials without authorization.

Not professional advice

StartupCFO is a software tool, not an accounting firm, tax preparer, broker-dealer, investment adviser, law firm, or fiduciary. Information, metrics, reports, projections, benchmarks, and AI output are not accounting, tax, legal, investment, or fundraising advice. Consult qualified professionals for filings, compliance, audited or reviewed statements, securities activity, and decisions requiring professional judgment.

Subscriptions and billing

Pricing, trial terms, included features, billing period, and renewal details are shown when you subscribe. Unless stated otherwise, paid subscriptions renew automatically until canceled. You authorize the applicable payment provider to charge the payment method on file. Taxes may be added where required. Fees are non-refundable except where the law requires otherwise or we expressly agree.

Acceptable use

You must comply with our Acceptable Use Policy. You may not use the service for unlawful, fraudulent, abusive, infringing, or harmful activity; interfere with the service; attempt unauthorized access; or misuse financial, personal, or investor information.

Our intellectual property

StartupCFO, its software, design, documentation, and branding are owned by us or our licensors and are protected by applicable laws. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for its intended business purpose. No rights are granted except as expressly stated.

Suspension and termination

You may stop using the service at any time. We may suspend or terminate access if you materially violate these terms, create security or legal risk, fail to pay applicable fees, or use the service in a way that could harm others or StartupCFO. Where practical, we will provide notice and a reasonable opportunity to resolve the issue.

Disclaimers and limitation of liability

The service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant uninterrupted operation or that every calculation, integration, AI output, or third-party data source will be error-free. To the fullest extent permitted by law, StartupCFO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from use of the service.

Changes and contact

We may update these terms to reflect changes to the service or applicable requirements. Updated terms will be posted here with a new effective date. Continued use after an update becomes effective means you accept the revised terms where permitted by law.
